Verbu Terms of use

Introduction

  • These Terms of Use (“Terms”) govern the use of all products, services, websites, web applications, APIs, and related technologies provided by Verbu ApS (“Verbu”, “we”, “us”, or “our”). Danish Business Registration no.45855309 with a registered address on Nymarksvej 57, 5800 Nyborg,Denmark and the customer, who has agreed to receive the Service from Verbu ("Customer"), collectively referred to as "the Parties" and individually "the Party"
  • By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (https://www.verbu.com/legal/privacy), which is incorporated herein by reference.
  • Your use of our Services is also subject to our Privacy Policy, which forms an integral part of these Terms.
  • If you do not agree to these Terms, you must not access or use the Service.

Definitions

For the purposes of these Terms:

  • “Service” means the Verbu AI-driven call handling and business insight platform, including all related features, tools, APIs, and integrations.
  • “User” or “you” means any person or legal entity accessing or using the Service.
  • “Direct Customer” means a business using Verbu directly.
  • “Reseller” means a business integrating or reselling Verbu’s technology to its own customers under a separate agreement.
  • “Data Protection Laws” means all applicable laws relating to data protection and privacy, including the EU General Data Protection Regulation (GDPR) 2016/679.
  • “Customer Data” means the data provided by the Customer to Verbu to enable the provision of the Service. Categories of Customer Data may vary depending on the Services provided and as described in the relevant Order Form. The Customer exclusively owns the rights and title to the Customer's intellectual property rights.
  • “Service Data” means the data collected and generated by Sheltr by operating the Service and through the Customer's use of the Service. Categories of Service Data may vary depending on the Services provided.
  • “Privacy Policy” means the publicly available policy describing how Verbu collects, uses, stores, and protects personal data, as well as the rights of individuals under applicable Data Protection Laws. The Privacy Policy is available at verbu.com/privacy and is incorporated into these Terms by reference.

Eligibility

  • You must be at least 13 years of age or the legal age of majority in your jurisdiction to enter into these Terms.
  • If you are accepting these Terms on behalf of a legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

Account Registration

  • To access certain features of the Service, you must register for an account and provide accurate, current, and complete information.
  • You are responsible for:
    a) maintaining the confidentiality of your login credentials;
    b) ensuring no unauthorized person accesses your account; and
    c) notifying Verbu immediately of any unauthorized access.
  • Verbu reserves the right to suspend or terminate accounts that violate these Terms.

Scope of Services

  • Verbu provides:
    1. A secure, web-based dashboard for uploading, managing, and analyzing company insights.
    2. AI-powered call handling used for inbound and outbound phone calls.
    3. Integration and API access for partners and resellers.
    4. Integration and API access to external technology providers used in the Company
  • The Customer authorises individuals (Users) to use or access the Service. Users can be employees or third-party partner of the Customer.
  • If the Customer registers for a free trial, the customer will only be charged for the data-processing costs, and no platform fee until (1) the end of period or (2) the start date of the Customers paid subscription unless stated otherwise.
  • Unless the Customer purchases a subscription to the applicable service before the end of the free trial all Customer data will be permanently deleted 90 days after the end of the free trial, and we will not recover it. If we include additional terms on the free trial registration page those will apply as well.
  • The Customer acknowledges that Verbu may apply upgrades to the Service and that such upgrades may result in changes to the functionality of the Service. No upgrade shall disable, delete, or impair the general functionality provided through the Service. Some upgrades are not mandatory.
  • The Customer grants a non-exclusive, revocable, non-transferable right to access and use the Service solely for internal business operations. The foregoing access and use grant does not constitute a sale and does not convey any rights of ownership in or to the Service, documentation or any related materials to Customer or any third party. The right of access and use is only granted for the term outlined in the applicable Order Form or the trial period.
  • Verbu may, without liability, modify, enhance, or discontinue features of the Service, provided such changes do not materially reduce the overall functionality purchased by you.

Data Protection & Privacy

  • Compliance with Law – Verbu processes all data in accordance with applicable Data Protection Laws, including the GDPR.
  • Anonymisation – All data uploaded by users is anonymised prior to storage, ensuring that no personally identifiable information (PII) is retained unless strictly necessary for service delivery or required by law.
  • Data Controller / Data Processor Roles – For Customers, Verbu acts as a Data Processor and the customer is the Data Controller. Roles and responsibilities will be defined in a separate Data Processing Agreement (DPA).
  • Security Measures – Verbu implements technical and organisational measures to protect data, including encryption in transit and at rest, access controls, and regular security testing.
  • Data Retention – Data will be retained only as long as necessary for the purposes described in these Terms or as required by law.
  • Our processing of personal data is governed by our Privacy Policy.

Fees & Payment

  • Pricing – The applicable fees are set out on our Pricing Page (https://www.verbu.com/pricing) and may include:
    1. Fixed monthly subscription fees;
    2. Usage-based charges (e.g., per handled call or per minute).
    3. Addon Services based on pr. Activity or per month
  • Billing Terms – Payment is due monthly on the first day after each month unless otherwise agreed. The payment is done in local currency.
  • Taxes – All fees and prices shown on the website and in documents are exclusive of VAT and other applicable taxes, unless expressly stated otherwise.
  • Late Payments – Late payment. If any amounts invoiced are not received by Verbu by the due date, Verbu may charge default interest in accordance with the Danish Act on Interest (“Renteloven”), from the date such payment was due until the date paid.
  • The Subscription fees and usage cost are adjusted annually with 2,5 % of the previous subscription fee on the anniversary of the Term without prior notice. Verbu may adjust the fees by providing 30 days’ notice.

Acceptable Use Policy

  • You must not:
    a) use the Service for any unlawful purpose;
    b) upload or transmit malicious code, spam, or infringing material;
    c) interfere with or disrupt the Service;
    d) reverse-engineer, decompile, or copy the Service’s technology.
  • Verbu may monitor compliance with these Terms and suspend or terminate access for violations.

Intellectual Property

  • All intellectual property rights in the Service, including software, design, and branding, are owned by Verbu or its licensors.
  • You are granted a limited, non-exclusive, non-transferable right to use the Service solely in accordance with these Terms.
  • All content and materials available in the Service and on Verbu domains, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of Verbu and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site, is strictly prohibited unless specifically authorised by Verbu.
  • These terms of the Agreement do not grant the Customer any ownership interest in or to such content or the Services but only a limited right of use that is revocable in accordance with this Agreement. Verbu does not grant any license or other rights to use any of our trademarks, service marks, copyrightable material or other intellectual property except as expressly provided in the Agreement or agreed to in writing.
  • Except for the limited rights expressly granted to the Customer hereunder, Verbu reserves all intellectual property rights, title and interest in and to the Service.
  • As between Verbu and the Customer, the Customer exclusively owns all rights, title, and interest in and to all Customer Data (incl. Personal Data, see further regarding Privacy in Section 6).
  • Verbu may aggregate and analyse Customer Data in order to provide statistical information to the Customer. Sheltr may also analyse Customer Data for security and operations management.
  • Verbu may conduct further statistical analysis on aggregated (non-personal identifiable) Customer Data to improve the solutions offered by Verbu.
  • Verbu exclusively owns all rights, title and interest in and to all Service Data.

Service Levels

  • Uptime Commitment – Verbu will use commercially reasonable efforts to maintain 99.5% monthly uptime, excluding scheduled maintenance and force majeure events.

Warranties & Disclaimers

  • Verbu provides the Service “as is” and makes no warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee uninterrupted or error-free operation.

Limitation of Liability

  • To the fullest extent permitted by law, Verbu’s total aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by you to Verbu in the 12 months preceding the claim.
  • Verbu shall not be liable for:
    a) indirect or consequential losses;
    b) loss of profits, revenue, or goodwill;
    c) data loss not caused by Verbu’s gross negligence or wilful misconduct.

Termination

  • Customers can terminate the subscription from the dashboard. No further payments will be made after the termination period which is End of Month unless otherwise agreed.
  • Verbu may suspend or terminate the Service immediately if you breach these Terms or if required to do so by law.
  • Upon termination, your right to use the Service ceases and Verbu may delete your account data after any applicable retention period.
  • If any fees are thirty (7) days or more overdue, Verbu may suspend its provision of the Service without limiting its other rights and remedies until such amounts are paid in full.
    1. Verbu shall notify the Customer in advance of its intention to suspend the Service for non-payment of undisputed fees seven (3) days before any such suspension.
    2. Any such suspension of services shall not entitle the Customer to any refunds of prepayments, or if no prepayments are made, not be an excuse for payment of full Fees.
    3. Verbu will reinstate the services upon the Customer’s payment of the outstanding Fees.
    4. Notwithstanding the foregoing, Verbu shall not suspend the Service if the unpaid charges are subject to a reasonable and good faith dispute.

Governing Law & Jurisdiction

  • These Terms are governed by the laws of Denmark without regard to any portion of its choice of law principles and excluding any application of the United Nations Convention on Contracts for the International Sale of Goods
  • Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Denmark.

Amendments

  • Verbu may amend these Terms at any time by posting the updated version on its website. Material changes will be communicated in advance. Continued use of the Service constitutes acceptance of the revised Terms.

Entire Agreement

  • These Terms, together with the Privacy Policy, constitute the entire agreement between you and Verbu regarding the use of the service. They supersede all prior agreements, understandings and communication, whether written or oral.
