1. Introduction
These Terms govern Verbu ApS's products and services. By accessing or using the Service, you acknowledge that you have read and agree to be bound by these Terms and the Privacy Policy.
If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
- Service: The AI-driven call handling platform with features, tools, and integrations
- Customer Data: Information provided by the customer to enable service provision
- Service Data: Data collected through operating the platform
- Data Protection Laws: GDPR and similar regulations
3. Eligibility
Users must be at least 13 years old or reach the legal age of majority in their jurisdiction. Those accepting on behalf of organisations warrant they have authority to do so.
4. Account Registration
Users must provide accurate information and maintain confidential login credentials. Verbu reserves the right to suspend accounts violating these Terms.
5. Scope of Services
Verbu provides a web-based dashboard, AI-powered call handling, and API integrations. Free trials charge only data-processing costs; unused accounts are deleted 90 days post-trial.
The Customer grants a non-exclusive, revocable, non-transferable right to access and use the Service solely for internal business operations.
6. Data Protection & Privacy
Verbu processes data per GDPR standards, anonymising uploads and acting as a Data Processor while customers serve as Data Controllers. Data retention follows necessity principles and legal requirements.
7. Fees & Payment
Pricing Structure
- Fixed monthly subscription fees
- Usage-based charges (per handled call or minute)
- Add-on services by activity or month
Annual increases of 2.5% apply without notice. Late payments incur interest per Danish law.
8. Acceptable Use Policy
Prohibited activities include:
- Unlawful use
- Transmitting malicious code
- Disrupting services
- Reverse-engineering the platform
9. Intellectual Property
Verbu retains ownership of all service intellectual property. Customers exclusively own their data. Verbu may analyse aggregated, non-identifiable data for improvements.
10. Service Levels
Verbu will use commercially reasonable efforts to maintain 99.5% monthly uptime, excluding scheduled maintenance and force majeure events.
11. Warranties & Disclaimers
The Service is provided "as is" with no warranties of merchantability or fitness for particular purposes.
12. Limitation of Liability
Liability caps at fees paid in the preceding 12 months. Verbu isn't liable for indirect losses or data loss absent gross negligence.
13. Termination
Customers can cancel via dashboard; no further charges apply after the termination period (end of month). Verbu may suspend immediately for breaches or suspend after 7 days notice for non-payment.
14. Governing Law & Jurisdiction
Danish law governs these Terms; disputes fall under Danish court jurisdiction.
15. Amendments
Verbu may modify Terms by posting updates; continued service use implies acceptance.
